Auction Terms and Conditions

Participation in any online auction hosted on the Iron Gate Auctions Inc. website (the “Site”) is subject to the following Auction Terms and Conditions which govern all Iron Gate Auctions as posted on the Site, as posted in the auction showroom, and as set out in any catalogue. Iron Gate Auctions Inc. (the “Auctioneer”) reserves the right to modify or update the Auction Terms and Conditions without prior notice. It is the responsibility of all prospective buyers to review any and all changes made to these Auction Terms and Conditions prior to each use of this Site. Modifications and changes are effective and binding when posted on the Site. By using the Site, you agree in advance to accept all Auction Terms & Conditions, including such changes.

SPECIAL TERMS & CONDITIONS: THE LIFELONG COLLECTION OF BRIAN HEFFERNAN

In addition to Iron Gate Auctions' standard terms, the following specific terms, disclaimers, and fulfillment restrictions apply exclusively to "The Lifelong Collection of Brian Heffernan":

• Storage Environment & Temperature Disclosure: Prospective buyers should note that the wines in this collection were stored at an ambient basement temperature of approximately 18°C, rather than the standard optimal cellar temperature of 12.5°C. As a result, certain bottles may exhibit signs of accelerated aging or accelerated secondary development.

• Automated Cataloguing & Inspection Disclaimer: To cost-effectively offer a collection of this value and magnitude, initial inventory cataloguing was completed using artificial intelligence and automated tools. While reasonable efforts were made to ensure accuracy, descriptions may contain minor discrepancies, and some details may not be available altogether. Bidders must rely on the lot photographs as the primary representation of bottle condition, label quality, and fill levels. Please note that individual bottles or cases cannot be retrieved from storage for physical re-examination, detailed clarification, or additional photography.

• Pre-Packaged Cases & Restricted Fulfillment (No Courier): Unlike standard Iron Gate auctions, all mixed cases in this sale are pre-packaged and cannot be opened, re-sorted, repackaged, or shipped via individual courier for any reason whatsoever. Fulfillment is strictly limited to the following two local pickup options:
  a) Calgary Facility Pickup: Alberta residents and local buyers may pick up their purchases directly at our Calgary facility at no additional charge.
  b) Toronto Consolidated Pickup: Buyers in the Greater Toronto Area may opt to have their cases consolidated and shipped via pallet transport to our Etobicoke (Toronto) office. Toronto office pickups are subject to a flat fee of $50 per case.

• Absence of Individual Appraisals & Flat Starting Bids: The wines offered in this auction have not undergone individual commercial appraisal or market valuation. To facilitate an efficient sale, all mixed cases will open at a flat starting bid of $500 (plus standard Buyers Premium of 19.5%). Bidders are encouraged to evaluate the lot photographs and exercise their own judgment to bid to the value they see fit.

• Limitation of Liability (Inventory & Quality): Iron Gate Auctions assumes no responsibility or liability for inventory description inaccuracies, bottle-to-bottle variation, cork integrity, or the ultimate drinkability and quality of any wine offered in this sale. All lots are sold strictly "AS IS, WHERE IS."

1. Definitions

As used herein, the following words are defined as described below:

“Bidder” means any person participating, making, or attempting to make a bid at an auction sale, either Online or Live.

“Buyer” means a person who makes the highest bid accepted at the closing of an “Online Auction” or by the auctioneer in a “Live Auction”, except as otherwise provided in Iron Gate Auctions’ Discretion in Relation to Bidding/Purchasing, Paragraph 4 a) b) or c) below.

“Online Auction” is the sale of a Property or Lots which is conducted by means of Iron Gate's Online Auction Platform and assorted technical services accessible solely by online means and which enables Buyers to bid for and buy Lots in a time-based auction.

“Live Auction” is the sale of Property or Lots which is conducted in person under a Licenced Auctioneer in a live, public forum.

“Hammer Price” means the highest bid accepted from a “Bidder” for a Lot during an Online or Live Auction, unless Iron Gate Auctions decides to use its authority as set out in Iron Gate Auctions’ Discretion in Relation to Bidding/Purchasing, Paragraph 4 below.

“Buyer’s Premium” means the commission payable by “Buyer” to Iron Gate Auctions, which is 19.5% of the “Hammer Price”.

“Purchase Price” means the sum of the “Hammer Price”, the “Buyer’s Premium”, and any applicable taxes.

“Property” means an item offered for sale at an auction.

“Lot” means a collection of one or more items offered for sale as a single unit at an auction.

“Reserve” is the minimum price which the Seller has agreed to accept for a Lot below which the Lot cannot be sold.

“Seller” means the consignor of the Property.

2. Description of Property for Auction

Iron Gate Auctions endeavors to describe each Property or Lot as carefully and accurately as possible; however, Iron Gate Auctions and the Seller do not warrant or represent, and deny responsibility for, the accuracy of Catalogue or Lot descriptions and photographs encompassing but not limited to provenance, vintage, authenticity, quality, color, and condition as may be stated in the description, on a condition report, or in catalogue photography. All statements are a matter of opinion only and cannot be construed as warranties or representations of fact or assumptions of any liability on the part of Iron Gate Auctions or the Seller.

AI Inventory & Condition Disclaimer: For this specific sale, inventory descriptions were generated in part using artificial intelligence and automated tools to enable the cost-effective sale of mixed lots. Iron Gate Auctions is not responsible for inventory inaccuracies or the quality of the product offered. Bidders must rely on the high-definition lot photographs as the primary guide to lot contents, fill levels, and condition. Please note that bottles cannot be pulled from storage for clarification or further physical description.

Wines are inspected, catalogued, and lotted as accurately as possible prior to the time of sale. Buyers of older and more fragile wines must make allowances for natural variations of ullage and general condition, including corks, cases, and labels. All lots are sold “AS IS” without any representation or warranty of any kind by Iron Gate Auctions or the Seller. Neither Iron Gate Auctions nor the Seller shall be responsible to the Buyer for errors or omissions made at any auction, in the catalog, email, tasting notes, estimates, or in any communication by Iron Gate Auctions.

Storage Temperature Disclosure: Bidders are advised that the wines in this collection were stored at an ambient basement temperature of approximately 18°C rather than the standard 12.5°C cellar temperature, and as such may be subject to accelerated aging.

Examination of Lots: As a prospective buyer, you are strongly advised to examine personally the high-definition photographs of any Lot in which you are interested before bidding. By placing a bid online, you agree that you have examined the respective lot photographs and accepted the terms of sale.

Appraisals & Reserve Bids: Lots in this collection have not been individually appraised. To cost-effectively offer these unique mixed cases, each lot opens at a flat starting bid of $500, encouraging potential buyers to bid to the value they see fit.

3. Bidder Registration and Representation

In accordance with Alberta law, wine and spirits may only have title transferred to persons 18 years of age or older. By registering to bid, you confirm that you are at least that age. Proof of age may be requested. Each buyer represents and warrants that he or she will ensure that any purchased lots will not be delivered to or received by any person under 18 years of age or the age of majority in the province of delivery.

The buyer agrees to comply with all applicable laws and regulations regarding bidding, purchase, and transport of lots. All sales are final and non-retractable.

4. Employee Bidding

Employees of Iron Gate Auctions Inc. and its affiliates are permitted to bid in any Online or Live Auction under the same terms and conditions as any other Bidder, with no access to Reserve prices or non-public information.

5. Iron Gate Auctions’ Discretion in Relation to Bidding/Purchasing

Iron Gate Auctions reserves the right, in its absolute discretion, to reject any registration or bid, disable or deactivate accounts, withdraw or combine lots, or cancel/re-offer lots in the event of error or dispute.

6. Connectivity and Technical Problems

Execution of online bids is a convenience service. Iron Gate Auctions shall not be held liable for any failure to execute bids due to internet disconnection, system outages, or technical errors.

7. Online Bidding Process

Online auctions begin and end at predetermined times. Bids left online are legally binding. Bidding extensions (anti-sniping) apply: any bid placed within the final 5 minutes of a lot closing will extend the clock by 5 minutes until all bidding activity stops.

8. Buyer’s Premium, Invoices and Taxes

Purchases are subject to a 19.5% Buyer’s Premium plus 5% GST. Invoices are emailed within 18 hours of sale close and must be settled within 48 hours. Unsettled invoices will be auto-charged to the credit card on file.

9. Intellectual Property and Copyright

Iron Gate Auctions Inc. retains copyright over all catalogue images, photography, and written text.

10. Shipping and Collection of Sold Lots

Strict Fulfillment Terms: SPECIAL FULFILLMENT RESTRICTIONS FOR THIS SALE: Mixed cases in 'The Lifelong Collection of Brian Heffernan' are pre-packaged and CANNOT be opened, repackaged, or shipped by courier for any reason whatsoever. Fulfillment is strictly limited to:
1. Local Pickup in Calgary: Alberta residents may pick up their purchases at our Calgary facility.
2. Consolidated Toronto Pickup: Buyers in the Greater Toronto Area can arrange to have their cases shipped on an aggregated skid level to our office in Etobicoke for a flat fee of $50 per case.

Confirmation of pickup arrangements must be made within 30 days of auction close. Unclaimed items after 30 days are subject to handling, administration, and storage fees. Buyers are responsible for insuring, packing, and removing purchased property.

11. Entire Agreement, Governing Law and Privacy

This agreement comprises the entire contract between Iron Gate Auctions and the Buyer and is governed by the laws of the Province of Alberta. Personal information is collected and processed in accordance with Alberta privacy legislation. Iron Gate Auctions operates under Alberta Auction License 352487, authorized by the AGLC.
